General Terms and Conditions - FacialNexus

Welcome to FacialNexus. These General Terms and Conditions govern the relationship between FacialNexus (referred to as we, us, our, or the Provider) and the client (referred to as you, your, or the Client) regarding the provision of consultancy, exclusive facilitation of custom 3D facial implant design, architecture, and surgical coordination services.

By accessing our Website, submitting diagnostic data, or signing a service order, you explicitly agree to be bound by these Terms.

Nature, Exclusivity, and Scope of Services

FacialNexus operates exclusively as an independent introductory, educational, 3D data-processing, and marketing facilitator. The Client expressly understands, acknowledges, and agrees to the following provisions:

Exclusive Engagement: The Client has engaged FacialNexus on an exclusive basis relative to any other facial design, biometric modeling, or craniofacial consultancy provider for the specific anatomical project for the duration of this Agreement.

Disclaimer and Independent Judgment: FacialNexus is not a medical facility or surgical practice. Any 3D digital planning, PEEK-implant visualizations, or anatomical measurements provided by FacialNexus are strictly for educational, illustrative, and biomechanical planning facilitation purposes.

The final medical applicability, surgical safety, and anatomical feasibility of any design rest solely and exclusively with the Client's independent, licensed treating surgeon, who maintains absolute clinical discretion.

Scope of Service, Estimates, and Condition of Binding Execution

All estimates, quotes and preliminary project proposals provided by FacialNexus are strictly for educational and illustrative planning purposes, are free of obligation, and remain valid for thirty (30) days from the date of issuance.

The Client expressly acknowledges that the entire project - including the manufacturing of the custom implant and scheduling of the operating room - only becomes a legally binding and final surgical commitment once the Client has successfully signed the official Informed Consent Disclosure with the independent treating surgeon.

The Surgeon's Absolute Veto Right: The independent treating surgeon retains sole clinical authority. If, after reviewing the 3D designs, the clinical data, or during the pre-op physical examination, the surgeon determines the procedure is medically unsafe, the surgeon will not sign the medical disclosure, and the surgical order is automatically cancelled. FacialNexus cannot overrule a surgeon's clinical decision.

Financial Separation: In the event of a medical cancellation by the surgeon prior to signing the disclosure, any funds allocated for the medical procedure will be handled according to the clinic's refund policy. FacialNexus remains completely independent of and external to any subsequent medical or financial disputes between the Client and the medical provider.

Execution of the Agreement and Third-Party Providers

FacialNexus shall execute the consultancy and coordination services to the absolute best of its technical ability. Because our primary role is facilitation, FacialNexus explicitly reserves the right to have the actual 3D architectural design, custom manufacturing, and specialized surgical coordination executed by our approved, qualified third-party partners and medical networks. Client Data Obligations: The Client is solely responsible for ensuring that FacialNexus is provided in due time with all required high-quality digital data and materials (including, but not limited to, uncorrupted, high-resolution 3D CT scans, DICOM data files, and facial photography) necessary for the timely execution of the digital design phase by our partners.

Modifications and Changes to the Agreement

Design Modifications and Structural Changes: If the Client requests structural modifications, additional anatomical areas, or dimensional changes to the custom implant design after the architectural phase has officially commenced, FacialNexus shall act solely as the coordinating intermediary between the Client and the designated engineering partner.

Assessment of Impact: Upon receiving a modification request, FacialNexus will facilitate the communication with the external design partner, who remains solely responsible for assessing the technical feasibility, engineering timeline, and any additional technical fees associated with the requested changes.

Fee Adjustment and Authorization: If needed, FacialNexus will communicate any resulting updates to the timeline or the service fee to the Client.

Intellectual Property and Copyrights

All promotional content, reports, technical advice, and educational branding on the FacialNexus website remain the exclusive intellectual property of FacialNexus. The actual 3D structural blueprints, digital files, and custom material plans generated during the process remain the intellectual property of the principal design partner. The Client is strictly prohibited from reproducing, making public, or distributing these technical designs to unauthorized third parties or competing manufacturers.

Financial Fees, Pricing, and Expenses

Fees for the consultancy, facilitation of 3D architectural design, real-life mappings, and concierge services are determined based on the explicit project scope outlined in the signed agreement.

In the event of a payment default, all collection costs, extrajudicial expenses, judicial costs, court costs, and expenditures for legal assistance or bailiffs incurred by FacialNexus to collect outstanding balances shall be charged completely to the Customer. Extrajudicial collection costs are fixed at a minimum of ten percent of the outstanding invoice amount.

Warranty, Complaints, and Replacements

Third-Party Manufacturing Warranties and Defect Mediation: FacialNexus is a design consultancy and intermediary service; we do not fabricate, mill, or manufacture physical implants. Consequently, FacialNexus provides no direct or implied warranties regarding the physical custom-milled goods.Manufacturer’s Warranty Scope: Any quality guarantee regarding the physical structural integrity, material composition, or precise milling tolerances of the delivered parts is issued strictly and exclusively by our third-party manufacturing partners. This manufacturer’s warranty typically remains valid for a fixed period of sixty (60) months from the date of physical delivery to the surgical facility, subject to the manufacturer’s specific terms.

Warranty Exclusions: The Client acknowledges that this manufacturer’s warranty applies strictly to structural factory defects and is completely void if the defect is caused by incorrect handling by the Client, surgical team modification during operation, anatomical shifts, or post-operative physical trauma sustained by the patient.

Limitation of Remedy: The remedy for any verified manufacturing defect is strictly limited - entirely at the discretion and under the financial responsibility of the manufacturing partner—to either the technical correction or the physical replacement of the affected implant part. FacialNexus is not liable for any surgical, hospital, or logistical costs incurred due to a product replacement.

Limitation of Medical, Design, and Operational Liability

Data Accuracy and Design Liability Disclaimer: FacialNexus functions strictly as an introductory consultancy and logistical facilitator. The Client expressly acknowledges that the actual 3D craniofacial modeling, biological engineering, and implant design files are generated exclusively by independent, third-party 3D design specialists and not by FacialNexus. FacialNexus, its external design partners, and its manufacturing affiliates are completely exempt from any liability for physical injuries, psychological dissatisfaction, aesthetic mismatch, financial losses, or surgical delays caused by errors in the design files, or by the fact that the design was based on incorrect, incomplete, corrupted, out-of-date, or untimely diagnostic data procured by the Client.

Surgical and Technical Execution Disclaimer: While FacialNexus provides direct matching, logistical coordination, and liaison services with an elite network, the physical placement of the implants, the administration of anesthesia, and the ultimate clinical outcomes remain the sole medical liability of the independent operating surgeon. FacialNexus, including its facilitators and independent 3D design partners, shall under no circumstances be held liable for independent surgical errors, medical malpractice, anatomical non-integration, or structural manufacturing defects.

Final Clinical Approval of Design: The Client agrees that all 3D digital renderings and implant designs provided through FacialNexus's platform are architectural concepts only. The operating surgeon retains the sole, ultimate, and absolute medical responsibility to review, modify, and clinically approve the final design prior to manufacturing. Once the surgeon grants clinical approval, FacialNexus is fully and permanently released from any liability regarding the anatomical fit, structural suitability, or aesthetic outcome of the implant.

Exclusion of Consequential Damages: FacialNexus shall under no circumstances be held liable for indirect damages, consequential losses, lost profits, missed personal savings, travel or accommodation losses, or commercial downtime experienced by the Client due to design timelines, manufacturing delays, or surgical outcomes.

Legal Jurisdiction and Disputes

This Agreement, and all legal relations arising from it directly between the Provider (FacialNexus) and the Client regarding consultancy and facilitation, shall be governed exclusively by the laws of the Netherlands. Any unresolved disputes or legal actions arising directly under these Terms shall be submitted exclusively to the competent court in the Netherlands. Disputes regarding the medical procedure or manufacturing must be resolved directly with the respective third-party providers under their specific jurisdictions.
